Purpose<\/h5><p><span style=\"font-weight: 400;\">This service agreement defines the terms and conditions applicable to organic content management and production services for social media, newsletters and websites (hereinafter &#8220;content strategy, creation and delivery&#8221;) provided by Alexem Studio Inc. (hereinafter &#8220;Alexem Studio&#8221;). By accepting a quote for such services, the customer agrees to be bound by this agreement in its entirety.  <\/span><\/p><h5>2. Scope of included services<\/h5><p><span style=\"font-weight: 400;\">Organic content management and production services include :<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Initial research (market analysis, competitors, creative inspiration, tone, content)<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Setting up collaboration tools (ClickUp, calendars, shared documents, Canva, etc.)<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Creation of an editorial calendar and recurring content (thematic pillars, evergreen vs. news)<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Design and adaptation of visual templates according to agreed artistic direction<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Copywriting, design and programming of organic publications (Facebook, Instagram, LinkedIn, other platforms as mandated)<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Writing and publishing derivative content (blogs, articles, newsletters, case studies, etc., depending on package)<\/span><\/li><\/ul><h6>Explicit exclusions<\/h6><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Community management (responding to comments and messages)<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Paid digital advertising (boosts, sponsored campaigns)<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Any service not specified in the accepted tender<\/span><\/li><\/ul><h5>3. Obligations of Alexem Studio<\/h5><p><span style=\"font-weight: 400;\">Alexem Studio commits to :<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Produce and deliver agreed content according to schedule<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Provide best-practice content strategy, creation and delivery<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Use professional tools and resources, including artificial intelligence software and solutions (e.g. professional ChatGPT, Canva, SEO tools), as well as specialized freelancers (e.g. translators, proofreaders) if necessary<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Respect the artistic direction and tone agreed with the customer<\/span><\/li><\/ul><h6>Commitment of means and good faith<\/h6><p><span style=\"font-weight: 400;\">Services are rendered with an obligation of means, in good faith, according to the knowledge, skills and information available at the time of the project. Social platform rules, SEO best practices and content trends evolve regularly, and Alexem Studio does not provide ongoing monitoring outside of a separate mandate. <\/span><\/p><h5>4. Customer&#8217;s responsibilities<\/h5><p><span style=\"font-weight: 400;\">The customer must :<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Communicate without delay to Alexem Studio all information necessary for the proper execution of the services. The customer certifies that the information provided for the analysis of needs and the determination of services is true, complete and accurate. Any incomplete or inaccurate information may lead to an increase in the cost of the project.  <\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Provide all necessary content and elements (texts, images, videos, logos, access, guidelines) in a timely manner. Missing parts will cause delays and may generate additional billable work. The customer certifies that he is the owner of the intellectual property rights to these elements, as well as the rights of use. The customer certifies that these do not violate or infringe on any person&#8217;s right to respect and safeguard their reputation, image and privacy. The customer acknowledges that it is solely responsible for ensuring that the site complies with all applicable laws and regulations.    <\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Be available and cooperate at all times with Alexem Studio in order to proofread, validate the accuracy of content before publication and approve deliverables within a reasonable time, as agreed or prescribed by Alexem Studio. Any errors not reported at the time of validation remain the responsibility of the client. Post-publication corrections (erratum, withdrawal, public correction) are the responsibility of the customer.  <\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Provide or validate translations if necessary, within the time required to meet the schedule<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><\/ul><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Guarantee that it holds the rights to any content provided.<\/span><\/li><\/ul><p><span style=\"font-weight: 400;\">Recognize that you remain responsible for the commercial impact of your content choices<\/span><\/p><h5>5. External tools and licensed resources<\/h5><p><span style=\"font-weight: 400;\">Alexem Studio may, depending on the mandate, use licensed image banks, fonts, music, videos or templates, as well as generative tools (e.g. DALL-E, Adobe Firefly, MidJourney, Artlist). These resources are used in accordance with their respective terms and conditions. The customer acknowledges that their use does not confer worldwide exclusivity, and that rights of use are limited to the conditions provided by these platforms.  <\/span><\/p><h5>6. Intellectual property<\/h5><ul><li>The templates, models and content created remain the property of Alexem Studio until full payment has been received.<\/li><li>After payment, the customer receives an exclusive right to use the final creations for the intended purpose.<\/li><li>Alexem Studio retains the right to use extracts from projects for portfolio or demonstration purposes.<\/li><\/ul><h5>7. Errors and omissions<\/h5><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Alexem Studio takes all reasonable precautions to deliver quality content<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">In the event of human or technical error, its liability is limited to the correction of the error within a reasonable time.<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Alexem Studio cannot be held responsible for any errors not reported by the customer during the validation process, nor for any problems not detected at the time of delivery.<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Any indirect loss (loss of income, damage to reputation, loss of clientele) is excluded.<\/span><\/li><\/ul><h5>8. Limitation of liability<\/h5><p><span style=\"font-weight: 400;\">Alexem Studio cannot be held responsible for :<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The factual accuracy of the information provided by the customer<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The commercial, financial or reputational impact of organic publications or campaigns<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Performance in terms of reach, visibility or engagement, which depends on third-party algorithms (Meta, LinkedIn, search engines) and factors beyond Alexem Studio&#8217;s control.<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Delays or cancellations due to late validation or missing information provided by the customer<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Future developments in platforms or distribution rules that could reduce the effectiveness of content<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Modifications or deletions decided unilaterally by social platforms (Meta, LinkedIn, etc.)<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><\/ul><p><span style=\"font-weight: 400;\">In all circumstances, Alexem Studio&#8217;s maximum liability, should it be incurred, is strictly limited to the amount paid by the customer for the organic content management and production mandate in the six (6) months preceding the incident.<\/span><\/p><h5>9. Force majeure<\/h5><p><span style=\"font-weight: 400;\">Alexem Studio cannot be held responsible for any delay or failure in performance caused by an event beyond its control, including social platform failures, algorithm changes, strikes, pandemics or third-party supplier failures.<\/span><\/p><h5>10. Duration<\/h5><p><span style=\"font-weight: 400;\">This contract is in force from the date of signature until full performance of the services, unless terminated in accordance with the terms of the Service Contract &#8211; General.<\/span><\/p><h5>11. Acceptance<\/h5><p><span style=\"font-weight: 400;\">By accepting an organic content management and production quote from Alexem Studio, the client acknowledges :<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">have read the present &#8220;Organic content management and production&#8221; service contract and accept it in its entirety<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">have read and accepted the &#8220;Service Level Agreement (SLA) &#8211; General&#8221;, which forms an integral part of the present document<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">have read and, where applicable, accepted the other specific service contracts applicable to its mandate (e.g. Web design; Copywriting\/SEO; Branding), which take precedence over their respective fields of expertise<\/span><\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-53310e5 elementor-widget elementor-widget-heading\" data-id=\"53310e5\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title
