Purpose<\/h5><p><span style=\"font-weight: 400;\">This service agreement defines the terms and conditions applicable to writing, editing, translation and content optimization services provided by Alexem Studio Inc (hereinafter &#8220;Alexem Studio&#8221;). These services may be rendered as part of an exclusive mandate or as an integral part of a larger project (web design, branding, marketing). By accepting a quote including such services, the customer agrees to comply fully with this contract.   <\/span><\/p><h5>2. Scope of included services<\/h5><p><span style=\"font-weight: 400;\">Content services include :<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Original copywriting (websites, articles, newsletters, promotional documents, social media)<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Revision or adaptation of texts supplied by the customer<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Translation of existing texts (English\/French or other languages, subject to availability)<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">SEO optimization of supplied or created content (structure, tags, keywords, metadata)<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Delivery of content in agreed formats (Word, Google Docs, web integration, etc.).<\/span><\/li><\/ul><p><span style=\"font-weight: 400;\">Any services not specified in the accepted tender must be the subject of a separate order.<\/span><\/p><h5>3. Obligations of Alexem Studio<\/h5><p><span style=\"font-weight: 400;\">Alexem Studio commits to :<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Provide content that complies with the specifications agreed in the tender<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Produce texts according to good copywriting and SEO practices<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Use reliable reference tools and resources, including professional software, artificial intelligence solutions (e.g. professional ChatGPT), and qualified external reviewers or translators as needed.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Adapt and check generated or translated texts before delivery<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><\/ul><p><strong>Commitment of means and good faith :<\/strong><\/p><p><span style=\"font-weight: 400;\">Services are rendered with an obligation of means, in good faith, according to the knowledge, skills and information available at the time of the project. Linguistic, marketing and SEO practices evolve regularly, and Alexem Studio does not provide ongoing monitoring outside of a separate mandate. <\/span><\/p><h5>4. Customer&#8217;s responsibilities<\/h5><p><span style=\"font-weight: 400;\">The customer must :<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Provide all necessary, accurate and up-to-date information to enable the production of content<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Be available to check and approve texts before publication. Any errors not notified at the time of approval remain the responsibility of the customer. Corrections or errata after publication are the responsibility of the customer.  <\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Guarantee that it holds the rights to all content supplied (texts, slogans, images, excerpts) Any claim relating to content supplied by the customer remains under its responsibility.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Recognize that business results (sales, visibility, SEO ranking) depend on many factors beyond Alexem Studio&#8217;s control (marketing budget, competition, search engine algorithms, overall strategy)<\/span><\/li><\/ul><h5>5. External tools and licensed resources<\/h5><p><span style=\"font-weight: 400;\">Depending on the nature of the assignment, Alexem Studio may use external tools and artificial intelligence solutions (e.g. ChatGPT, proofreading software, SEO tools), as well as qualified external translators or proofreaders. These tools and services are used in a professional manner and in accordance with their respective terms and conditions. The customer acknowledges that their use does not confer worldwide exclusivity, and that the rights to use the final deliverable are limited to the conditions laid down by these platforms.  <\/span><\/p><h5>6. Intellectual property<\/h5><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Alexem Studio takes all reasonable precautions to deliver quality content<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">In the event of human or technical error, its liability is limited to the correction of the error within a reasonable time.<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Alexem Studio cannot be held responsible for errors not reported by the customer during the validation process, nor for problems not detectable or known at the time of delivery.<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Any indirect loss (loss of income, damage to reputation, loss of clientele) is excluded.<\/span><\/li><\/ul><h5>7. Errors and omissions<\/h5><ul><li><p><span style=\"font-weight: 400;\">Alexem Studio cannot be held responsible for :<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The factual accuracy of information provided by the customer<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Errors or consequences related to the reuse of content by third parties<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Commercial, financial or reputational performance attributed to the texts created or optimized<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">SEO rankings or positions in search engines, which depend on independent third-party algorithms<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Future changes in SEO practices or communication rules that would render content less effective over time<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><\/ul><p><span style=\"font-weight: 400;\">In all circumstances, Alexem Studio&#8217;s maximum liability, should it be incurred, is strictly limited to the amount paid by the customer for the content mandate in the six (6) months preceding the incident.<\/span><\/p><\/li><\/ul><h5>8. Force majeure<\/h5><p><span style=\"font-weight: 400;\">Alexem Studio cannot be held responsible for any delay or failure in performance caused by an event beyond its control, including breakdowns, strikes, pandemics or major algorithm changes imposed by search engines.<\/span><\/p><h5>9. Duration<\/h5><p><span style=\"font-weight: 400;\">This contract is in force from the date of signature until full performance of the services, unless terminated in accordance with the terms of the Service Contract &#8211; General.<\/span><\/p><h5>10. Acceptance<\/h5><ul><li><p><span style=\"font-weight: 400;\">By accepting a quote that includes writing, editing, translation or content optimization services, the customer acknowledges :<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">have read and accepted this &#8220;Copywriting, editing, translation and content optimization&#8221; service contract in its entirety<\/span><span style=\"font-weight: 400;\"><br><\/span><\/li><\/ul><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">have read and accepted the &#8220;Service Level Agreement (SLA) &#8211; General&#8221;, which forms an integral part of the present document<\/span><\/li><\/ul><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">have read and, where applicable, accepted the other specific service contracts applicable to its mandate (e.g. Web design; Branding; Management and production of organic content), which take precedence over their respective domains<\/span><\/li><\/ul><\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ecc8b9e elementor-widget elementor-widget-heading\" data-id=\"ecc8b9e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">SPECIFIC SERVICE CONTRACTS
