Service contract - Management and production of organic content (social media, newsletters, website)

1. Purpose

This service contract defines the terms and conditions applicable to the management and production of organic content for social media, newsletters and websites (hereinafter “content strategy, creation and distribution”) provided by Alexem Studio Inc. By accepting a quote for such services, the customer agrees to comply fully with this contract.

2. Scope of included services

Organic content management and production services include :

  • Initial research (market analysis, competitors, creative inspiration, tone, content)
  • Setting up collaboration tools (ClickUp, calendars, shared documents, Canva, etc.)
  • Creation of an editorial calendar and recurring content (thematic pillars, evergreen vs. news)
  • Design and adaptation of visual templates according to agreed artistic direction
  • Copywriting, design and programming of organic publications (Facebook, Instagram, LinkedIn, other platforms as mandated)
  • Writing and publishing derivative content (blogs, articles, newsletters, case studies, etc., depending on package)
Explicit exclusions
  • Community management (responding to comments and messages)
  • Paid digital advertising (boosts, sponsored campaigns)
  • Any service not specified in the accepted tender
3. Obligations of Alexem Studio

Alexem Studio commits to :

  • Produce and deliver agreed content according to schedule
  • Provide best-practice content strategy, creation and delivery
  • Use professional tools and resources, including artificial intelligence software and solutions (e.g. professional ChatGPT, Canva, SEO tools), as well as specialized freelancers (e.g. translators, proofreaders) if necessary
  • Respect the artistic direction and tone agreed with the customer
Commitment of means and good faith

Services are rendered with an obligation of means, in good faith, according to the knowledge, skills and information available at the time of the project. Social platform rules, SEO best practices and content trends evolve regularly, and Alexem Studio does not provide ongoing monitoring outside of a separate mandate.

4. Customer’s responsibilities

The customer must :

  • Provide information, raw content (text, images, videos, news) and validation within the agreed deadlines
  • Reread and approve content before distribution. Any errors not notified at the time of approval remain the responsibility of the customer. Post-publication corrections (erratum, withdrawal, public correction) are the responsibility of the customer.
  • Provide or validate translations if necessary, within the time required to meet the schedule
  • Guarantee that it owns the rights to any content provided

The customer undertakes to designate a single decision-maker with the necessary authority and competence to give final approval to all stages and deliverables of the project. This designation must be communicated in writing to Alexem Studio prior to the start of the mandate. Alexem Studio will only consider feedback and approvals issued by this decision-maker. Requests or approvals from other parties will not be considered unless formally communicated by the designated decision-maker. The customer acknowledges that obtaining and waiting for multiple, sometimes contradictory, approvals may impact project deadlines and result in additional billable costs.

5. External tools and licensed resources

Alexem Studio may, depending on the mandate, use licensed image banks, fonts, music, videos or templates, as well as generative tools (e.g. DALL-E, Adobe Firefly, MidJourney, Artlist). These resources are used in accordance with their respective terms and conditions. The customer acknowledges that their use does not confer worldwide exclusivity, and that rights of use are limited to the conditions provided by these platforms.

6. Intellectual property
  • The templates, models and content created remain the property of Alexem Studio until full payment has been received.
  • After payment, the customer receives an exclusive right to use the final creations for the intended purpose.
  • Alexem Studio retains the right to use extracts from projects for portfolio or demonstration purposes.
7. Errors and omissions
  • Alexem Studio takes all reasonable precautions to deliver quality content
  • In the event of human or technical error, its liability is limited to the correction of the error within a reasonable time.
  • Alexem Studio cannot be held responsible for any errors not reported by the customer during the validation process, nor for any problems not detected at the time of delivery.
  • Any indirect loss (loss of income, damage to reputation, loss of clientele) is excluded.
8. Limitation of liability

Alexem Studio cannot be held responsible for :

  • The factual accuracy of the information provided by the customer
  • The commercial, financial or reputational impact of organic publications or campaigns
  • Performance in terms of reach, visibility or engagement, which depends on third-party algorithms (Meta, LinkedIn, search engines) and factors beyond Alexem Studio’s control.
  • Delays or cancellations due to late validation or missing information provided by the customer
  • Future developments in platforms or distribution rules that could reduce the effectiveness of content
  • Modifications or deletions decided unilaterally by social platforms (Meta, LinkedIn, etc.)

In all circumstances, Alexem Studio’s maximum liability, should it be incurred, is strictly limited to the amount paid by the customer for the organic content management and production mandate in the six (6) months preceding the incident.

9. Force majeure

Alexem Studio cannot be held responsible for any delay or failure in performance caused by an event beyond its control, including social platform failures, algorithm changes, strikes, pandemics or third-party supplier failures.

10. Duration and termination
  • This service contract applies for the duration of the mandate defined in the tender.
  • In the event of termination by the customer, all hours worked and expenses incurred are payable.
  • Alexem Studio may terminate a contract in the event of non-payment or breach of contract by the customer.
11. Acceptance

By accepting an organic content management and production quote from Alexem Studio, the client acknowledges :

  • have read the present “Organic content management and production” service contract and accept it in its entirety
  • have read and accepted the “Service Level Agreement (SLA) – General”.
  • have read and, where applicable, accepted the other specific service contracts applicable to its mandate (e.g. Web design; Copywriting/SEO; Branding), which take precedence over their respective fields of expertise

Yes, hour banks are valid for one year from the date of purchase. Make sure you use your hours within this period.

Time banks must be paid in advance of any project or work being carried out. This guarantees our availability and commitment to your projects.

No, we do not provide quotations for projects carried out within the framework of banks or time plans. Quotations are reserved for lump-sum projects and follow our standard rates.

Fixed-price projects include a fixed price and a pre-defined scope. They are suitable for one-off or one-time projects, with costs based on our standard tariff.
