Service contract - Web design

1. Purpose

This service agreement defines the terms and conditions applicable to the website design and development services provided by Alexem Studio Inc. (hereinafter “Alexem Studio”). By accepting a quote or commissioning Alexem Studio for a web design project, the customer agrees to the terms of this contract. All provisions of the quote form an integral part of this contract.

2. Scope of included services

Web design services include:

  • Design and integration of WordPress/Elementor sites
  • Front-end integration and customization of themes and plugins
  • Basic on-page SEO (content, metadata, structure)
  • Initial configuration of forms, e-mails or related services
  • Delivery of a functional site in compliance with the specifications indicated in the accepted tender
  • Provide the services described in the tender

(hereinafter the “Services”).

Scope clarifications and changes
  • Any service not specifically described in the quotation is not included herein but may be the subject of a separate mandate.
  • The scope of services may change during the course of the project (unforeseen technical events, additional requirements). All modifications must be approved in advance in writing (costs and schedule impacts).
  • Bilingual or multilingual sites: managing a site in several languages entails greater development time and resource consumption, and may require more efficient hosting.
    The site is delivered by default in a single language, as agreed with the customer. Bilingual or multilingual versions are not included and must be agreed separately.
  • Browser compatibility: the site is tested on current versions of the main browsers (Chrome, Firefox, Edge, Safari). Older browsers or versions not supported by their publishers may present problems requiring additional billable development.
  • Unless modifications are made by the customer, Alexem Studio guarantees the general functionality of the site for a period of three months following the official launch. The following elements are excluded from the warranty: third-party elements, external dependencies, calls to external programming interfaces, content entered by editors, web browsers not included in the list supported by Alexem Studio, minor/major/security updates to software packages (CMS, etc.), frameworks, extensions, libraries or other updates.
3. Obligations of Alexem Studio
  • Provide services to industry standards
  • Hand over administrative access to the customer at the end of the project
  • Provide, where appropriate, basic training in the use of the site
Commitment of means and good faith
  • Services are provided on a best-efforts basis, in good faith, according to the knowledge, skills and information available at the time of the project.
  • A budget contingency is recommended to cover unforeseen events; any change in scope is validated in writing before implementation.
4. Customer’s responsibilities

The customer must:

  • Communicate without delay to Alexem Studio all information necessary for the proper execution of the services. The customer certifies that the information provided for the purpose of analyzing needs and determining services is true, complete and accurate. Any incomplete or inaccurate information may result in an increase in the cost of the project.
  • Provide all necessary content and elements (texts, images, videos, logos, access, guidelines) in a timely manner. Missing parts will cause delays and may generate additional billable work. The customer certifies that he is the owner of the intellectual property rights to these elements, as well as the rights of use. The customer certifies that these do not violate or infringe on any person’s right to respect and safeguard their reputation, image and privacy. The customer acknowledges that it is solely responsible for ensuring that the site complies with all applicable laws and regulations.
  • Provide and maintain software licenses (plugins, themes, fonts, third-party services) to ensure their security, unless they are included in a plan managed by Alexem Studio (separate contract). The customer is responsible for the security of its applications and data, including that of its users and customers.
  • Secure administrative access (strong passwords, two-factor authentication).
  • To be available and collaborative at all times with Alexem Studio in order to proofread, validate the accuracy of content before publication and approve deliverables within a reasonable timeframe, as agreed or prescribed by Alexem Studio. Any errors not reported at the time of validation remain the responsibility of the client. Post-publication corrections (erratum, withdrawal, public correction) are the responsibility of the customer.
  • Acknowledge that it remains responsible for the commercial impact of its technological and content choices.
Content and input
  • Text input or editing not included in the submission may be billed.
5. Timetable and delivery date

If a customer reality delays completion and the site is blocked to the limit of what Alexem Studio can deliver with the information available, this last payment becomes due at the end of the established schedule.

After payment, at the customer’s discretion:

  • Online without incomplete pages or sections
  • Maintenance in staging environment for a defined additional period (accommodation costs payable)

Sections or elements already included in the submission will be integrated at no extra cost when they are released, within a maximum period of six months following the online publication and subject to Alexem Studio’s schedule and availability. After twelve months, any intervention will be invoiced at the rates then in force.

6. External tools, extensions and licensed resources
  • Alexem Studio can use external services and professional AI tools (e.g. code generation or optimization wizards, performance analyzers), as well as licensed extensions or resources.
  • When the site is hosted by Alexem Studio as part of a separate plan, premium extensions (plugins/themes) are included with updates for as long as the plan is hosted with Alexem Studio.
  • If the customer hosts his own site, he is responsible for acquiring and renewing the necessary premium licenses. The site can technically function without updates, but this is strongly discouraged (risk of flaws, bugs, security incidents, vulnerabilities) and is the customer’s choice.
  • Regular license renewal prices will be communicated to the customer. In the event of non-renewal, the customer releases Alexem Studio from any liability related to vulnerabilities, incompatibilities or security issues. In no event shall Alexem Studio be liable to the customer for any loss, damage, claim or expense whatsoever, including any consequential, indirect or incidental damages, any damages whatsoever arising, directly or indirectly, from the customer’s failure or negligence to renew licenses or perform any updates.
  • The use of third-party tools and resources is subject to their terms and conditions. The customer acknowledges that this does not confer worldwide exclusivity, and that the rights to the final deliverable remain governed by these licenses.
7. Limitation of liability
  • In the event of human or technical error, the responsibility of Alexem Studio is limited to the correction within a reasonable time.
  • Alexem Studio cannot be held responsible for errors not reported during validation, nor for problems not detected at the time of delivery.
  • Any unauthorized third-party intervention, or the addition of users not controlled by Alexem Studio with administrative privileges invalidates Alexem Studio’s responsibilities and, in the event of a breakdown, results in charges to restore the previous state.

Alexem Studio cannot be held responsible for:

  • Failures, faults, attacks or interruptions caused by WordPress, its plugins, the host, registrar, CDN or any other external service.
  • Changes, updates, discontinuation of support or price increases by external suppliers
  • Final speed or technical performance, depending in particular on hosting, external resources, actual usage and traffic.
  • Organic referencing (positions), dependent on algorithms and independent factors
  • The behavior of older/unsupported browsers
  • The commercial, financial or reputational impact of the delivered site

In all cases, the customer may not claim compensation from Alexem Studio for any indirect losses (loss of income, reputation, clientele).

In all circumstances, Alexem Studio’s maximum liability, if any, is limited to the amount paid by the customer for the web design mandate in the six (6) months preceding the incident.

8. Force majeure

Alexem Studio cannot be held responsible for any delay or failure in performance resulting from events beyond its control, including widespread breakdowns, computer attacks, natural disasters, labor disputes or failures of third-party suppliers.

9. Duration

This contract is in force from the date of signature until full performance of the services, unless terminated in accordance with the terms of the Service Contract – General.

10. Acceptance

By accepting a web design quote from Alexem Studio, the customer acknowledges:

  • Have read the present “Web Design” service contract and accept it in its entirety
  • Have read and accepted the “General Service Agreement”, which forms an integral part of the present document
  • Have read and, if applicable, accept the other specific service contracts applicable to its mandate (e.g. Branding, hosting/email/domain/site management; Copywriting/SEO; Organic content management and production), which take precedence over their respective domains.

Yes, hour banks are valid for one year from the date of purchase. Make sure you use your hours within this period.

Time banks must be paid in advance of any project or work being carried out. This guarantees our availability and commitment to your projects.

No, we do not provide quotations for projects carried out within the framework of banks or time plans. Quotations are reserved for lump-sum projects and follow our standard rates.

Fixed-price projects include a fixed price and a pre-defined scope. They are suitable for one-off or one-time projects, with costs based on our standard tariff.
