Service contract - Writing, editing, translation and content optimization

1. Purpose

This service contract defines the conditions applicable to writing, editing, translation and content optimization services provided by Alexem Studio Inc. These services may be rendered as part of an exclusive mandate or as an integral part of a larger project (web design, branding, marketing). By accepting a quote including such services, the customer agrees to comply fully with this contract.

2. Scope of included services

Content services include :

• Original copywriting (websites, articles, newsletters, promotional documents, social media)
• Revision or adaptation of texts supplied by the customer
• Translation of existing texts (English/French or other languages, subject to availability)
• SEO optimization of supplied or created content (structure, tags, keywords, metadata)
• Delivery of content in agreed formats (Word, Google Docs, web integration, etc.).

Any services not specified in the accepted tender must be the subject of a separate order.

3. Obligations of Alexem Studio

Alexem Studio commits to :

• Provide content that complies with the specifications agreed in the tender
• Produce texts that are clear, coherent and adapted to the target audience, according to good writing and SEO practices
• Use reliable reference tools and resources, including professional software, artificial intelligence solutions (e.g. professional ChatGPT), and qualified external reviewers or translators as needed.
• Adapt and check generated or translated texts before delivery

Commitment of means and good faith

Services are rendered with an obligation of means, in good faith, according to the knowledge, skills and information available at the time of the project. Linguistic, marketing and SEO practices evolve regularly, and Alexem Studio does not provide ongoing monitoring outside of a separate mandate.

4. Customer’s responsibilities

The customer must :

• Provide all necessary, accurate and up-to-date information to enable the production of content
• Check and approve texts before distribution. Any errors not notified at the time of validation remain the responsibility of the customer. Corrections or errata after publication are the responsibility of the customer.
• Guarantee that it holds the rights to all content provided (texts, slogans, images, extracts)
• Recognize that business results (sales, visibility, SEO ranking) depend on many factors beyond Alexem Studio’s control (marketing budget, competition, search engine algorithms, overall strategy)

The customer undertakes to designate a single decision-maker with the necessary authority and competence to give final approval to all stages and deliverables of the project. This designation must be communicated in writing to Alexem Studio prior to the start of the mandate. Alexem Studio will only consider feedback and approvals issued by this decision-maker. Requests or approvals from other parties will not be considered unless formally communicated by the designated decision-maker. The customer acknowledges that obtaining and waiting for multiple, sometimes contradictory, approvals may impact project deadlines and result in additional billable costs.

Any claim related to content provided by the customer remains under the customer’s responsibility.

5. External tools and licensed resources

Depending on the nature of the assignment, Alexem Studio may use external tools and artificial intelligence solutions (e.g. ChatGPT, proofreading software, SEO tools), as well as qualified external translators or proofreaders. These tools and services are used in a professional manner and in accordance with their respective terms and conditions. The customer acknowledges that their use does not confer worldwide exclusivity, and that the rights to use the final deliverable are limited to the conditions laid down by these platforms.

6. Intellectual property

• The content created remains the property of Alexem Studio until full payment has been received.
• After payment, the customer receives an exclusive right to use the final content for the intended purpose.
• Alexem Studio retains the right to use extracts for portfolio, demonstration or internal training purposes.

7. Errors and omissions

• Alexem Studio takes all reasonable precautions to deliver quality content
• In the event of human or technical error, its liability is limited to the correction of the error within a reasonable time.
• Alexem Studio cannot be held responsible for errors not reported by the customer during the validation process, nor for problems not detectable or known at the time of delivery.
• Any indirect loss (loss of income, damage to reputation, loss of clientele) is excluded.

8. Limitation of liability

Alexem Studio cannot be held responsible for :

• The factual accuracy of information provided by the customer
• Errors or consequences related to the reuse of content by third parties
• Commercial, financial or reputational performance attributed to the texts created or optimized
• SEO rankings or positions in search engines, which depend on independent third-party algorithms
• Future changes in SEO practices or communication rules that would render content less effective over time

In all circumstances, Alexem Studio’s maximum liability, should it be incurred, is strictly limited to the amount paid by the customer for the content mandate in the six (6) months preceding the incident.

9. Force majeure

Alexem Studio cannot be held responsible for any delay or failure in performance caused by an event beyond its control, including breakdowns, strikes, pandemics or major algorithm changes imposed by search engines.

10. Duration and termination

• This service contract applies for the entire duration of the mandate.
• In the event of termination by the customer, all hours worked and expenses incurred are payable.
• Alexem Studio may terminate a contract in the event of non-payment or breach of contract by the customer.

11. Acceptance

By accepting a quote that includes writing, editing, translation or content optimization services, the customer acknowledges :

• have read and accepted this “Copywriting, editing, translation and content optimization” service contract in its entirety
• have read and accepted the “Service Level Agreement (SLA) – General”.
• have read and, where applicable, accepted the other specific service contracts applicable to its mandate (e.g. Web design; Branding; Management and production of organic content), which take precedence over their respective domains
